Terms & Conditions of Service
Last Updated: February 26, 2026 • Applicable to all client engagements, Statement of Work (SOW) agreements, and software deliveries by Workbitz AI Software Solutions.
1. Acceptance of Terms & Engagement Scope
By engaging Workbitz AI Software Solutions (“the Company”, “we”, “us”, or “our”), accessing our websites (workbitz-ai.com), or entering into a Statement of Work (SOW), Proposal, or Service Agreement, you (“the Client”, “you”, or “your organization”) agree to be legally bound by these Terms and Conditions.
These Terms constitute the Master Services Agreement between Workbitz AI Software Solutions (headquartered in Pune, Maharashtra, with branch delivery operations in Chhatrapati Sambhajinagar) and the Client. Any additional, contradictory, or custom terms outlined in a mutually signed SOW shall take precedence over these general terms for that specific project scope.
2. Software Services, SOW & Change Management
We provide custom digital services including web application engineering, native and cross-platform mobile apps (Flutter, iOS, Android), enterprise AI and machine learning integrations, ERP/CRM implementations, cloud infrastructure consulting, and UI/UX design.
- Scope Definition: Deliverables, timelines, technical milestones, and acceptance criteria are explicitly documented in each project SOW.
- Change Requests: Any feature additions, architectural alterations, or scope expansions requested after SOW sign-off must be processed via a formal written Change Request detailing updated timeline and cost estimates.
- Client Dependencies: Timely project delivery requires the Client to provide timely feedback, domain assets, third-party API credentials, and required sign-offs within agreed sprint review windows.
3. Intellectual Property & Source Code Ownership
We maintain a transparent and client-first intellectual property policy:
Custom Code Deliverables: Upon receipt of 100% full and final payment for the project milestones, full proprietary ownership, copyright, and title to all custom-developed source code, application logic, and visual assets transfer unconditionally to the Client.
Pre-Existing Frameworks & Open Source: Components utilizing third-party open-source libraries (e.g., React, Next.js, Flutter, TailwindCSS) remain governed by their respective permissive licenses (e.g., MIT, Apache 2.0).
Client Materials: The Client retains sole and exclusive ownership of all proprietary data, logos, text content, and private customer databases provided to us for project execution.
4. Invoicing, Payment Terms & Taxes
All professional fees, milestone schedules, and currency denominations (INR / USD) are specified in the project proposal or invoice.
- Milestone Payments: Unless otherwise specified, projects follow an initial booking deposit followed by phased milestone disbursements upon sprint approval.
- Payment Window: Invoices are due within fifteen (15) calendar days from the date of issue.
- Taxes: All domestic Indian transactions are subject to applicable Goods and Services Tax (GST). International clients are responsible for any local withholding taxes or customs duties.
- Late Payments: Overdue invoices beyond 30 days may result in a temporary suspension of staging server access and deployment schedules until balances are reconciled.
5. Non-Disclosure, Confidentiality & Data Security
Both parties agree to hold all non-public technical data, source code, trade secrets, financial records, and proprietary business concepts in strict confidence under non-disclosure obligations that survive for three (3) years post contract termination.
We implement industry-standard encryption, strict access controls, and SOC2-compliant engineering environments to safeguard your IP and customer data against unauthorized access, loss, or leakage.
6. Warranties, Quality Guarantee & Bug Fixes
Workbitz AI Software Solutions warrants that all delivered software will conform in all material respects with the technical specifications set forth in the agreed SOW.
30-Day Post-Launch Warranty: We provide thirty (30) days of complimentary bug fixing and critical defect remediation starting from the official production go-live date, provided that defects arise from our codebase and have not been caused by unauthorized third-party modifications, external API outages, or Client infrastructure failure.
7. Limitation of Liability
To the maximum extent permitted by applicable Indian and international law, neither party shall be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data corruption, or business interruption.
Our aggregate liability arising out of or related to any project engagement shall not exceed the total fees paid by the Client to Workbitz AI Software Solutions under the specific Statement of Work during the six (6) months preceding the incident.
8. Governing Law & Dispute Resolution
These Terms shall be governed by, construed, and enforced in accordance with the laws of the Republic of India.
In the event of any dispute or disagreement arising from this Agreement, the parties agree to first seek an amicable resolution through direct executive negotiation. If unresolved within thirty (30) days, disputes shall be submitted to the exclusive jurisdiction of the competent courts in Pune, Maharashtra, India.
